Persistent Systems to Acquire Nagarro in $1.3 Billion Deal, Creating a Global AI Engineering Powerhouse
Indian IT company Persistent Systems has announced plans to acquire Nagarro in a deal valued at approximately €1.27 billion ($1.3 billion). The acquisition is expected to create a global AI-led digital engineering company with nearly $2.9 billion in annual revenue and over 46,000 employees across more than 40 countries.
In one of the largest overseas acquisitions by an Indian IT services company, Persistent Systems has launched a voluntary public takeover offer to acquire all outstanding shares of Nagarro through its subsidiary Galaxy Germany Holding SE. The offer values Nagarro at approximately €1.27 billion (around ₹13,600 crore) and offers shareholders €81 per share in cash.
The transaction has already received support from Nagarro's management and supervisory board. Nagarro's largest shareholder, Lantano Beteiligungen GmbH, has also agreed to sell its approximately 21% stake as part of the deal.
If completed, the combined organization will generate an annual revenue run rate of approximately $2.9 billion and employ more than 46,000 professionals across North America, Europe, India, and other global markets. The combined company aims to strengthen its position in AI-led digital engineering, cloud transformation, enterprise modernization, ERP, customer experience, and data services.
According to company statements, the acquisition combines Persistent's strength in AI-led engineering and North American markets with Nagarro's strong European presence, digital engineering expertise, ERP capabilities, and customer experience services. The deal is expected to significantly expand Persistent's footprint in Europe and diversify its revenue streams beyond the United States market.
However, investors reacted cautiously to the announcement. Persistent Systems shares fell nearly 10–11% following the news, with several brokerages highlighting concerns around the acquisition premium, integration risks, and potential pressure on profit margins in the near term.
Industry analysts believe that while the acquisition may create short-term financial challenges, it could provide significant long-term strategic benefits by creating a larger global player capable of competing more effectively in the rapidly growing AI and digital transformation market.
